Beta Release Notice — v1.x.x
These Terms of Use apply to Mingle v1.x.x, which constitutes the beta phase of the Service. By creating an account during the beta period, you acknowledge that you are accessing pre-release software. Beta software may be subject to defects, unannounced changes, service interruptions, or data loss inherent to active development. Mingle's contractual and legal obligations under these Terms and applicable law apply in full during the beta period; however, beta users accept the inherent technical risks associated with using software that is still under active development.
These Terms of Use ("Terms") constitute a legally binding agreement between you and Gabriel Gostiaux, operating as an auto-entrepreneur under French law ("Mingle", "we", "us", or "our"), governing your access to and use of the Mingle platform, including the website available at mingle.webagab.fr and any associated mobile applications (collectively, the "Service").
What Mingle does. Mingle is a professional networking platform that identifies overlapping travel itineraries between members and facilitates introductions and in-person meetings. Mingle's role is strictly limited to providing this matching infrastructure; the Service does not organise, supervise, or guarantee the outcome of any interaction between users.
Agreement. By creating an account or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by:
If you do not agree to these Terms in their entirety, you must not create an account or use the Service.
Age requirement. The Service is available only to individuals aged 18 years or older. By creating an account, you certify that you are at least 18 years old. Mingle reserves the right to suspend or terminate any account where it has reasonable grounds to believe the account holder is under 18.
Legal capacity. You must have full legal capacity to enter into a binding contract under the laws of your country of residence. If you are acting on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.
Geographic and sanctions restrictions. You may not use the Service if doing so would violate applicable export control laws or economic sanctions regulations, including those administered by the European Union, France, the United States, or the United Nations.
Account registration. When creating an account, you agree to:
All authentication is handled via email and password. No third-party login providers are used; there is no sign-in with Google or other OAuth services.
Confidentiality of credentials. You are solely responsible for maintaining the confidentiality of your login credentials, including your password. You must not share your credentials with any third party or permit anyone else to access your account.
Security obligations. You agree to:
Responsibility for account activity. To the extent permitted by applicable law, you are responsible for all activity that occurs under your account, whether or not you authorised it. Mingle shall not be liable for any loss or damage arising from your failure to comply with the obligations in this Section.
Core features. The Service currently provides:
No user-to-user messaging. Mingle does not currently provide in-platform messaging between users. Any communication between users takes place through means chosen by the users themselves, entirely outside the Service.
Algorithmic matching disclosure. The Service uses an automated algorithm to identify users whose travel itineraries overlap geographically and temporally. This algorithm does not take into account personal characteristics beyond travel destination and dates. No automated decision with a legal or similarly significant effect is made about any user as a result of this algorithm. This disclosure is made pursuant to the French Loi pour une République numérique (Law No. 2016-1321 of 7 October 2016) and Article 22 of the GDPR.
What Mingle does not do. Mingle does not:
Reserved rights. Mingle reserves the right to add, modify, or remove features of the Service at any time. Where a material change would adversely affect your use of the Service, Mingle will provide reasonable prior notice in accordance with Section 17.
General conduct. You agree to use the Service only for lawful purposes, in a manner consistent with these Terms and in good faith. You agree to act respectfully and professionally towards other users at all times.
Prohibited conduct. You must not, directly or indirectly:
Reporting. You are strongly encouraged to report any profile, content, or behaviour that violates these Terms or that you believe poses a safety risk. Reports may be submitted through the in-app reporting tool or by contacting Mingle at gabriel@webagab.fr.
When a user is reported:
Blocking. You may block any other user through the in-app blocking feature. A blocked user will not be able to view your profile, send you connection requests, or appear in your match results. Blocking is immediate and does not require review.
Definition. "User Content" means all text, photographs, images, profile data, travel itineraries, trip notes, and any other material that you upload, submit, or transmit through the Service.
Your ownership. You retain full ownership of all User Content you submit to the Service. These Terms do not transfer any intellectual property rights from you to Mingle.
Licence to Mingle. By submitting User Content, you grant Mingle a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, display, adapt, and process your User Content solely to operate and improve the Service and to display your profile to other users in accordance with your visibility settings. This licence terminates when you delete the relevant content or your account, subject to any data retention obligations in the Privacy Policy.
Your warranties. You represent and warrant that you hold all rights necessary to grant the above licence, that your User Content does not infringe any third party's rights, and that it complies with these Terms and applicable law.
Moderation. Mingle may review, moderate, remove, or restrict access to any User Content that it reasonably believes violates these Terms, poses a safety or legal risk, or is otherwise harmful. Mingle is not obligated to pre-screen all User Content.
Third-party content. User profiles may include links to external resources (such as LinkedIn, personal websites, or social media). These are not operated or controlled by Mingle and are subject to their own terms and privacy policies.
Infrastructure hosting. The Service is hosted on infrastructure operated by OVH SAS, a French company with data centres in France (Strasbourg and Gravelines). All user data is stored and processed within the European Union. Mingle has entered into a Data Processing Agreement with OVH in accordance with GDPR Article 28. Details, including a link to that agreement, are set out in the Privacy Policy.
No responsibility. Mingle is not responsible for the content, privacy practices, availability, accuracy, or legality of any third-party service or website. Access to any third-party service is entirely at your own risk.
App stores. Your use of any mobile application version of the Service is also subject to the terms of the applicable app store platform. In the event of any conflict, these Terms govern the relationship between you and Mingle.
In-app safety tools. Mingle provides blocking and reporting tools. You are encouraged to use them proactively if you encounter behaviour that makes you feel unsafe or that violates these Terms.
Your responsibility for interactions. You are solely responsible for:
Moderation limitations. Mingle relies primarily on user reports to identify potential violations and safety risks. Mingle does not automatically monitor or pre-screen all interactions. You remain fully responsible for evaluating the risks of interacting with other users and for deciding whether and how to meet them in person.
Disclaimer of control over offline interactions. Mingle does not control or supervise offline meetings. Mingle does not guarantee the identity, intentions, professional background, or future conduct of any user. Any decision to meet another user in person is made entirely at your own discretion and risk.
Safety recommendations. Mingle strongly recommends: choosing a public venue; informing a trusted person of your plans and location; keeping personal contact details private until you are comfortable sharing them; and trusting your instincts if you feel unsafe at any point.
Licence to use the Service. Subject to your compliance with these Terms, Mingle grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your own personal, non-commercial professional networking purposes.
Restrictions on use. You may not:
This licence is revocable by Mingle at any time in accordance with Section 12.
Ownership. All intellectual property rights in and to the Service — including the name "Mingle", the platform's software, code, architecture, design, user interface, graphics, text, and any original content created by or for Mingle — are owned by or licensed to Mingle and protected by applicable intellectual property laws.
No implied licence. Nothing in these Terms grants you any right, title, or interest in Mingle's intellectual property other than the limited use licence in Section 9.
Restrictions. You may not use any of Mingle's trademarks, logos, or brand assets without Mingle's prior written consent, and may not register any trademark, trade name, domain name, or identifier that is identical to or confusingly similar to Mingle's marks.
Free tier. The Service is currently provided on a free basis. The free tier provides access to core matching, trip management, and connection features at no charge. No payment information is required to create an account or use the Service at this time.
Paid tiers — future feature. Mingle does not currently offer paid subscriptions. Mingle may introduce paid subscription tiers at a future date. When paid tiers are activated:
Payment processing and Merchant of Record. When payment functionality is activated, Mingle intends to use a third-party Merchant of Record ("MoR") service. Under this model, the MoR — not Mingle — acts as the reseller of Mingle's subscriptions, appears as the merchant on your invoice or payment receipt, and assumes sole responsibility for processing your payment, collecting all applicable taxes (VAT, GST, sales tax), and handling payment disputes and refund requests. Mingle reserves the right to select and change its MoR provider; the provider in use will be identified clearly at checkout. MoR services under consideration include, without limitation:
At the time of any purchase, the applicable MoR's terms of service and privacy policy will govern the payment transaction. Mingle does not store payment card data regardless of which provider is used.
Taxes. Because Mingle intends to operate exclusively through a MoR service for paid transactions, the MoR will be solely responsible for calculating, collecting, and remitting all applicable taxes across all jurisdictions.
Right of withdrawal — EU consumers. Under Article 9 of EU Directive 2011/83/EU on consumer rights, EU consumers ordinarily have a 14-day right of withdrawal from distance contracts. Where a paid subscription is activated and you expressly request that Mingle begin performance of the digital service immediately upon purchase, you acknowledge that you waive your 14-day right of withdrawal with respect to that purchase, as permitted under Article 16(m) of that Directive. This waiver will be presented as an explicit, separately confirmed step at checkout, and written confirmation will be sent to you by email.
Termination by Mingle. Mingle may suspend or permanently terminate your account, at any time and with or without prior notice, if Mingle reasonably believes that you have:
Mingle also reserves the right to act in connection with extended periods of account inactivity, with advance notice where reasonably practicable.
Consequences of termination. Upon termination of your account by Mingle or by you:
Termination by you. You may delete your account at any time through account settings. Deletion triggers cascade deletion of your profile data, trip itineraries, match records, meeting request records, and connection records. Database backups are retained for up to 7 days and then overwritten automatically.
Survival. Sections 6 (warranty representations), 10, 13, 14, 15, 16, and 18 survive termination of your account and these Terms.
"As is" basis. The Service is provided on an "as is" and "as available" basis, to the fullest extent permitted by applicable consumer law. Mingle makes no representation or warranty — express, implied, or statutory — regarding the Service, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
No outcome warranty. Mingle does not warrant that your use of the Service will result in any particular number of matches, responses, meetings, or professional outcomes. Results will vary depending on travel activity, profile completeness, and the composition of Mingle's user base at any given time.
User content and third-party conduct. Mingle is not responsible for the accuracy, completeness, reliability, or legality of any User Content submitted by other users. Mingle does not endorse, verify, or warrant the identity, conduct, intentions, or credentials of any user.
Consumer rights. Nothing in this Section limits any rights you may have under applicable mandatory consumer protection law.
To the fullest extent permitted by applicable mandatory law, Mingle and its operator shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of data, loss of goodwill, business interruption, or reputational harm — whether arising from contract, tort (including negligence), or otherwise — even if Mingle has been advised of the possibility of such damages.
Mingle's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service, regardless of the legal basis, shall not exceed the greater of: (i) the total fees actually paid by you to Mingle in the twelve (12) calendar months immediately preceding the event giving rise to the claim; or (ii) one hundred euros (€100). For users on the free tier who have paid no fees, the applicable cap under (i) is zero (€0); the cap under (ii) of €100 applies in all cases as the minimum floor.
Mingle operates as an intermediary platform. It facilitates introductions between users based on overlapping travel itineraries but is not a party to any interaction, communication, arrangement, meeting, or transaction that takes place between users, whether through the Service or in person.
Mingle does not verify the identity, credentials, professional background, intentions, or conduct of any user. The accuracy of any information submitted by a user is the sole responsibility of that user. Any decision to meet, communicate with, or otherwise interact with another user, including any decision to meet in person, is made at your sole and exclusive discretion and risk. Mingle expressly disclaims all liability for any harm, loss, injury, or damage — whether physical, psychological, financial, or reputational — arising from any user-to-user interaction facilitated through the Service.
Mingle makes no representation or warranty that any user is who they claim to be, that any user-submitted information is accurate or complete, or that any user will comply with these Terms or applicable law. Users are strongly encouraged to exercise appropriate personal caution before agreeing to meet another user in person, including by choosing to meet in public places.
Mingle does not warrant that the Service will be available without interruption, error-free, or free from security vulnerabilities. Mingle shall not be liable for any loss resulting from temporary unavailability, data loss, or degradation of the Service, provided that Mingle takes commercially reasonable steps to maintain and restore the Service.
Mingle shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, acts of war or terrorism, civil unrest, governmental action, cyberattacks or distributed denial-of-service attacks, or failure of third-party infrastructure or service providers (including OVH).
Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable mandatory law, and in particular: (i) liability for death or personal injury caused by gross negligence (faute lourde) or wilful misconduct (faute intentionnelle) within the meaning of Article 1231-3 of the French Civil Code; (ii) liability for fraud or fraudulent misrepresentation (dol); and (iii) any liability that cannot be excluded under mandatory French consumer law, including under Article L.212-1 of the French Consumer Code relating to unfair contractual terms. In the event of any conflict between any provision of these Terms and applicable mandatory consumer protection law, the mandatory law shall prevail.
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Mingle and its operator from and against any and all claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) brought by any third party and arising out of or in connection with:
This obligation does not apply to the extent that the relevant claim arises from Mingle's own breach, negligence, or wilful misconduct.
Governing law. These Terms and any dispute or claim arising out of or in connection with them — including non-contractual disputes or claims — are governed by and construed in accordance with the laws of France (droit français), without regard to its conflict-of-law rules.
Consumer rights. If you are a consumer resident in an EU member state or another jurisdiction with mandatory consumer protection law, you also benefit from the mandatory consumer protection provisions of the law of your country of residence. Nothing in these Terms operates to deprive you of those protections.
Informal dispute resolution. Before initiating any formal legal proceedings, you agree to contact Mingle at gabriel@webagab.fr to attempt to resolve the dispute informally. Mingle will use reasonable efforts to respond within 30 days. Both parties agree to negotiate in good faith for thirty (30) days before escalating to formal proceedings, unless emergency relief is required.
Jurisdiction. If informal resolution does not succeed, disputes shall be submitted to the exclusive jurisdiction of the Tribunal judiciaire de Paris, except where mandatory consumer protection law requires that proceedings be brought in the courts of your country of residence, or where you are a consumer habitually resident in an EU member state (Article 18 of Regulation (EU) No 1215/2012).
EU Online Dispute Resolution. If you are a consumer based in the EU, you may also submit a complaint through the European Commission's ODR platform at ec.europa.eu/consumers/odr. Mingle's contact point for ODR purposes is gabriel@webagab.fr.
Individual claims only. To the fullest extent permitted by applicable law, any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.
Changes to the Service. Mingle may add, modify, or discontinue features of the Service at any time. Where a material change would adversely affect your use of the Service, Mingle will provide reasonable prior notice. If you do not accept the change, you may delete your account in accordance with Section 12 before the change takes effect.
Changes to these Terms. Mingle may update these Terms from time to time to reflect changes in the Service, applicable law, or business circumstances. When material changes are made, Mingle will:
Continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms, to the extent permitted by applicable consumer law.
Entire agreement. These Terms, together with the Privacy Policy and any other supplementary policies expressly incorporated by reference, constitute the entire agreement between you and Mingle with respect to the Service and supersede all prior or contemporaneous agreements relating to the same subject matter.
Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely if modification is not possible, without affecting the remaining provisions.
Assignment. Mingle may assign or transfer its rights and obligations under these Terms to any affiliate, successor entity, or acquirer without requiring your prior consent, provided that the assignee assumes all obligations under these Terms. You may not assign your rights or obligations without Mingle's prior written consent.
No waiver. Mingle's failure to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
Relationship of parties. Nothing in these Terms creates any partnership, joint venture, employment relationship, agency, or fiduciary duty between you and Mingle.
Language. These Terms are published in English. Pursuant to the Loi Toubon (Law No. 94-665 of 4 August 1994), a French version will be made available for users resident in France. In the event of any conflict between language versions, the French version shall prevail for French resident consumers; the English version shall prevail in all other cases.
